Annual Financial Report and Notice of Annual General Meeting

DRS Data & Research Services plc announces that copies of the Annual Report and Accounts for the 12 months ending 31 December 2009 and a Notice of Annual General Meeting to be held on 25 May 2010 at 3.00pm were posted to shareholders on 19 April 2010. In accordance with Listing Rule 9.6.3 two copies of each of the Annual Report and Accounts and circular containing the Notice of Annual General Meeting 2010 have been submitted to the UK Listing Authority.

Annual general meeting

DRS Data & Research Services plc announces that its Annual General Meeting will be held at 1 Danbury Court, Linford Wood, Milton Keynes MK14 6LR on 25 May 2010 at 3.00pm.
The business of the meeting will include the proposal of special resolutions:

1. To authorise the disapplication of statutory pre-emption rights
2. To authorise the Company to purchase its own shares
3. To amend the Articles of Association to allow the Directors to change the name of the Company
4. To amend the Articles of Association to authorise the Directors to determine the terms of redeemable shares
5. To authorise the Company to delete the Memorandum of Association
6. To allow general meetings (other than the Annual General Meeting) to be called on 14 days' notice

The full terms of these and the other resolutions to be proposed at the Annual General Meeting are set out in the circular containing Notice of the Annual General Meeting posted to shareholders on 19 April 2010. The proposed amendments to the Articles of Association are to take account of certain changes in company law brought about by the provisions of the Companies Act 2006 that came into force on 1 October 2009. 

Copies of the Annual Report and Accounts for the year ended 31 December 2009 and the Notice of Annual General Meeting and new Articles of Association will be available for inspection at the Company’s registered office at 1 Danbury Court, Linford Wood, Milton Keynes MK14 6LR during normal working hours until the date of the AGM.
